Eligibility

You must be at least 18 years old and have the legal authority to enter into binding contracts to use our services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Project Engagement and Agreements

Statement of Work: Each project engagement begins with a detailed statement of work (SOW) or project agreement that outlines scope, deliverables, timelines, milestones, and payment terms.

Project Scope: Changes to project scope may require amendments to the SOW and may affect timelines and costs. We will communicate any scope changes and obtain your approval before proceeding.

Client Responsibilities: Clients are responsible for providing timely access to necessary resources, information, assets, and decision-makers. Delays caused by lack of client input may affect project timelines.

Acceptance Testing: Clients will have a reasonable period to review and test deliverables. Acceptance criteria will be defined in the project agreement.

Payment Terms

Fees: Service fees will be specified in your project agreement. Typical payment structures include fixed-price projects, time-and-materials arrangements, or retainer agreements.

Payment Schedule: Payment terms are outlined in individual project agreements and typically include an initial deposit, milestone payments, and final payment upon completion.

Late Payments: Invoices are due within 30 days unless otherwise specified. Late payments may incur interest charges and may result in suspension of services.

Expenses: Unless otherwise agreed, third-party costs such as App Store fees, cloud hosting, API subscriptions, and other project-specific expenses will be billed separately.

Intellectual Property Rights

Client IP: Upon full payment, clients receive ownership of the custom code and designs created specifically for their project, as outlined in the project agreement.

Pre-existing IP: We retain ownership of our pre-existing tools, frameworks, libraries, and methodologies. Clients receive a license to use these components as part of their delivered application.

Third-Party Components: Applications may include third-party libraries and frameworks governed by their respective licenses (MIT, Apache, etc.). Clients are responsible for compliance with these licenses.

Portfolio Rights: Unless otherwise agreed, we reserve the right to showcase completed projects in our portfolio, marketing materials, and case studies.

Confidentiality

We understand that client projects often involve sensitive business information. We maintain strict confidentiality regarding your project details, proprietary information, and business strategies. Formal non-disclosure agreements (NDAs) can be executed for projects requiring additional confidentiality protections.

Warranties and Limitations

Quality Assurance: We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. We conduct thorough testing before delivery.

Bug Fixes: We provide a warranty period (typically 30-90 days) for bug fixes related to original deliverables, as specified in project agreements.

No Guarantee of Results: While we strive for excellence, we do not guarantee specific business outcomes, App Store approvals, user adoption rates, or revenue results.

Third-Party Services: We are not responsible for failures or changes to third-party services, APIs, platforms, or app stores beyond our control.

Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising from services provided shall not exceed the total fees paid by the client for the specific project giving rise to the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data
  • We are not liable for delays or failures caused by circumstances beyond our reasonable control

Termination

By Client: Clients may terminate a project with written notice. Client will be responsible for payment of all work completed to date plus reasonable wind-down costs.

By Cyberella Baby: We may terminate services if client breaches payment terms, fails to provide necessary cooperation, or violates these Terms.

Effect of Termination: Upon termination, we will deliver work completed to date upon receipt of payment for services rendered. License grants for pre-existing components terminate unless otherwise agreed.

Indemnification

Client agrees to indemnify and hold harmless Cyberella Baby LLC from any claims, damages, or expenses (including legal fees) arising from: (a) client's use of deliverables in violation of applicable laws; (b) client-provided content or materials; (c) modifications made by client or third parties after delivery; or (d) client's breach of these Terms.

Dispute Resolution

Good Faith Negotiation: Parties agree to attempt to resolve disputes through good-faith negotiation before pursuing formal legal action.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Venue: Any legal action arising from these Terms shall be brought exclusively in the courts located in Austin, Texas.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of modified Terms. Individual project agreements remain governed by the Terms in effect at the time of agreement execution.

General Provisions

  • Entire Agreement: These Terms, together with any project agreements, constitute the entire agreement between parties
  • Severability: If any provision is found unenforceable, remaining provisions remain in effect
  • No Waiver: Failure to enforce any provision does not constitute a waiver of that provision
